Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Merchant Kings website, client portal, and the website design, hosting, and digital marketing services we provide (together, the "Services"). By using the Services or engaging Merchant Kings ("we", "us", "our"), you agree to these Terms. If you are agreeing on behalf of a business, you represent that you are authorized to bind that business.
1. The Services
Merchant Kings builds and manages websites and marketing for businesses. Depending on the plan you choose, this may include website design and hosting, content and copywriting, advertising setup and management, social media, email, and related support. The specific deliverables, limits, and turnaround times for your plan are described at signup and in your client portal.
2. Your Account and Portal
We use passwordless email sign-in codes for the client portal. You are responsible for keeping access to your email account secure and for all activity that happens under your account. Tell us right away at contact@merchantkingshq.com if you believe your account has been accessed without your permission.
3. Your Responsibilities
- Provide accurate, current, and complete business information.
- Give us only content, images, logos, and materials that you own or have the right to use, and the right to let us use them for your website and marketing.
- Use the Services lawfully, and not for any content that is illegal, infringing, deceptive, or harmful.
- Review and approve deliverables in a reasonable time so we can keep your project moving.
4. Fees, Billing, and Subscriptions
Paid plans are billed on a recurring basis (for example, monthly) at the price shown when you sign up. Payments are processed by a third-party payment processor; by subscribing, you authorize us and our processor to charge your payment method for each billing cycle until you cancel. Prices exclude taxes unless stated otherwise, and you are responsible for any applicable taxes.
Subscriptions renew automatically. You may cancel a subscription at any time from your client portal or by contacting us; cancellation stops future renewals and takes effect at the end of the current billing period. If a payment fails, we may retry the charge and may pause the Services until the balance is resolved. Refund eligibility, if any, is as described at signup or as required by law.
5. Content and Intellectual Property
You keep ownership of the business content, trademarks, and materials you provide to us. Upon our receipt of full payment for the applicable work, you own the final website content and copy we deliver for your business. We keep ownership of the underlying tools, templates, frameworks, and know-how we use to produce that work, and of any general improvements to them. Stock photography and third-party assets are provided under their own licenses and remain subject to those licenses.
6. Acceptable Use
You agree not to use the Services to publish or promote anything unlawful, infringing, fraudulent, defamatory, or otherwise harmful, and not to attempt to disrupt, reverse engineer, or gain unauthorized access to the Services or their systems.
7. Third-Party Services
The Services rely on third-party providers, including for payment processing, website hosting, analytics, image and content sourcing, and email delivery. Your use of features that depend on those providers may also be subject to their terms. We are not responsible for the acts or omissions of third-party providers.
8. Disclaimers
The Services are provided on an "as is" and "as available" basis. While we work hard to deliver quality results, marketing outcomes depend on many factors outside our control. We do not guarantee any specific search ranking, traffic level, lead volume, sales, or other business result.
9. Limitation of Liability
To the maximum extent permitted by law, Merchant Kings will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Services is limited to the amount you paid us for the Services in the three months before the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold Merchant Kings harmless from claims, losses, and expenses arising out of the content or materials you provide, your use of the Services, or your breach of these Terms.
11. Termination
You may stop using the Services and cancel your subscription at any time. We may suspend or end the Services if you breach these Terms, if payment is not made, or as needed to protect the Services or comply with the law. Sections that by their nature should survive termination will survive.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above, and material changes will take effect on posting. Your continued use of the Services after a change means you accept the updated Terms.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The state and federal courts located in Florida will have exclusive jurisdiction over any dispute that is not resolved informally.
